Job Responsibilities:

  • Offer expert legal counsel on a wide range of issues, ensuring the group’s compliance with local laws and regulations.
  • Prepare and review various contracts, agreements, and legal documents to protect the interests of the group.
  • Ensure compliance with corporate governance principles and maintain records related to board meetings and company decisions.
  • Identify potential legal risks and develop strategies to mitigate them, safeguarding the group from legal disputes.
  • Advise on employment law, contracts, and employee-related issues to promote a harmonious work environment.
  • Stay updated on changes in laws and regulations and ensure the group adheres to industry-specific rules and standards.
  • Provide legal support during mergers, acquisitions, and other corporate transactions.
  • Collaborate with external legal firm(s) and advisors.
  • Coordinate Board and committee meetings including, but not limited to, creating meeting agendas, preparing documents, and managing the Board’s meeting calendar and relevant documents.
  • Attend Board and committee meetings to take meeting minutes, track action items, and provide support in the delivery of presentations.
  • Facilitate effective communication among board members and relevant stakeholders.
  • Maintain the annual Board and Corporate Governance Activities Calendar and assist in carrying out its activities.
  • Review and professionally format various documents, presentations, and reports as needed.
  • Assist with developing, researching, drafting, and consolidating the preparation of all informative materials and presentations for regular and ad hoc Board training, the AGM, and any other special meetings of the Board and/or its committees.
  • Ensure timely and accurate filing of corporate governance documents including, but not limited to, Board policies, meeting minutes, company’s annual returns, and amendments to the company’s constitutive documents.
  • Complete other duties as assigned by the line manager.

Job Requirements:

  • Bachelor’s degree in Law. Master’s degree holders will be preferred
  • Admitted to the Bar and licensed to practice law in Pakistan.
  • Minimum 3 years related experience gained at an international or reputable Pakistani law firm or relevant in-house counsel experience with a reputable company, preferably in compliance, corporate affairs, or regulatory affairs. Candidates with a mix of both will be preferred.
  • Strong knowledge of corporate and commercial law, compliance frameworks, and regulatory requirements.
  • Experience in the areas of corporate affairs, contract drafting, and negotiation.
  • Excellent analytical and problem-solving skills.
  • Ability to manage multiple priorities, meet deadlines, and work under pressure.
